Business HQ — Terms of Service

Operated by: Uplyft, a sole proprietorship registered under Udyam/MSME, Bangalore, Karnataka, India ("Uplyft", "we", "us", "our").

Product: "Business HQ" — a multi-tenant, cloud-based business command-center software ("Business HQ", the "Service").

By accessing or using Business HQ, you ("Client", "you") agree to these Terms of Service (the "Terms"). If you do not agree, do not use the Service.

1. Definitions

Service / Business HQ — the Uplyft-operated SaaS platform including its finance/GST accounting, inventory, CRM, staff and roles, niche modules, and AI features (including the AI assistant "Ava" and AI employees).

Client / you — the business entity or individual that Uplyft has invited and that holds an account (a "tenant").

Authorized User — any person you permit to access your account (e.g., your staff), for whose actions you are responsible.

Client Data — all data, records, and content you or your Authorized Users enter into or generate within your Business HQ tenant.

Subscription — the recurring paid plan that grants access to the Service.

AI Features — features that use artificial intelligence, including Ava, AI employees, and any features driven by an AI model.

Client API Key — an API key (e.g., an Anthropic key) that you optionally add to power AI Features at your own cost.

2. Eligibility & Account

2.1 The Service is intended for businesses and individuals of at least 18 years of age who can form a binding contract under Indian law.

2.2 You must provide accurate account information and keep it current. You are responsible for all activity under your account, including that of your Authorized Users.

2.3 You are responsible for safeguarding your login credentials. Notify us promptly at admin@uplyft.in of any suspected unauthorized access.

3. Invite-Only Signup

3.1 Business HQ is offered on an invite-only basis. Access is granted at Uplyft's discretion and typically as a done-for-you onboarding. There is no open self-service signup, and an invitation does not create any obligation to provide continued access except as set out in these Terms.

3.2 Uplyft may decline, revoke, or limit invitations at its discretion, subject to any active Subscription rights.

4. Acceptable Use

You agree not to:

(a) use the Service for any unlawful, fraudulent, or infringing purpose, or in violation of Indian law (including GST, tax, and data-protection law);

(b) upload malicious code, or attempt to breach, probe, or circumvent security or tenant-isolation controls;

(c) access another tenant's data or attempt to do so;

(d) reverse-engineer, resell, sublicense, or white-label the Service without our written permission;

(e) use the Service to store or process data you are not legally entitled to hold;

(f) overload, disrupt, or interfere with the Service or its infrastructure; or

(g) use AI Features to generate unlawful, harmful, or infringing content.

We may investigate suspected violations and suspend access as described in Section 11.

5. Subscription, Billing & the Pay-First Model

5.1 Pay-first access. Business HQ is a paid Service. Access requires an active Subscription. Access is not provided (or continued) without a valid, active subscription in good standing.

5.2 Monthly cycle. Subscriptions are billed monthly on a uniform cycle. Subscription charges for a cycle are due on the 1st of each month.

5.3 Grace period. If payment is not received by the due date, a grace period of approximately seven (7) days applies, during which access continues.

5.4 Account lock on non-payment. If payment is not received by the end of the grace period, your account will be locked and access to the Service will be suspended until payment is made. Client Data is retained during a lock (see the Refund & Cancellation Policy for what happens on longer non-payment or cancellation).

5.5 Payment via Razorpay. Payments are collected through our third-party payment processor Razorpay (via UPI Autopay / card mandates). By subscribing you authorize recurring charges under the applicable mandate. Your use of Razorpay is subject to Razorpay's terms. Uplyft does not store your full card or bank credentials.

5.6 Taxes and third-party fees. Prices are exclusive of applicable taxes (including GST) unless stated otherwise; you are responsible for such taxes. Any payment-processor, bank, or currency-conversion fees charged by third parties are your responsibility.

5.7 Price changes. We may change subscription pricing with reasonable prior notice (e.g., at least 15 days) effective from your next billing cycle.

5.8 Refunds. Refunds and cancellations are governed by the separate Refund & Cancellation Policy, which forms part of these Terms.

6. AI Features & Client-Provided API Keys

6.1 Business HQ includes AI Features (including Ava and AI employees). AI output is generated automatically and may be inaccurate, incomplete, or unsuitable for your purposes.

6.2 No warranty on AI output. AI Features are provided "as is". You must independently verify any AI output before relying on it, especially for finance, GST, tax, legal, accounting, or other decisions. Uplyft is not liable for actions taken based on AI output.

6.3 Client-provided API keys. You may add your own AI provider API key (e.g., an Anthropic key) to power AI Features. Where you use your own key:

(a) AI usage runs under your account with that provider, and the associated usage and cost are your responsibility;

(b) your use of the third-party AI provider is subject to that provider's terms; and

(c) you are responsible for keeping the key secure and for any usage incurred through it.

6.4 You are responsible for the data you submit to AI Features and for ensuring you have the right to do so.

7. Data Ownership & Export

7.1 You own your Client Data. As between you and Uplyft, you retain all rights, title, and interest in your Client Data. We claim no ownership of it.

7.2 Licence to operate. You grant Uplyft a limited licence to host, process, store, back up, and transmit Client Data solely to provide, secure, and support the Service.

7.3 Export. You may request an export of your Client Data in a common machine-readable format while your account is active, and within any post-cancellation export window described in the Refund & Cancellation Policy.

7.4 Privacy matters are governed by our Privacy Policy, which forms part of these Terms.

8. Service Availability

8.1 We aim to keep Business HQ available but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available".

8.2 The Service may be unavailable due to maintenance, updates, third-party infrastructure (including Supabase, Netlify, Razorpay, or AI providers), or events beyond our control.

8.3 Unless separately agreed in writing, no specific uptime, service-level, or support-response commitment is provided.

9. Limitation of Liability

9.1 To the maximum extent permitted by law, Uplyft is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business.

9.2 Uplyft's total aggregate liability arising out of or relating to the Service, in any 12-month period, shall not exceed the total subscription fees actually paid by you to Uplyft during the three (3) months immediately preceding the event giving rise to the claim.

9.3 Nothing in these Terms limits liability that cannot be limited under applicable Indian law.

10. Indemnity

You agree to indemnify and hold harmless Uplyft and its founder from claims, damages, losses, and reasonable expenses arising from: (a) your Client Data; (b) your use of the Service in breach of these Terms or applicable law; (c) your use of AI Features and Client API Keys; or (d) infringement of any third-party rights by your content or use.

11. Suspension & Termination

11.1 By you. You may cancel your Subscription as described in the Refund & Cancellation Policy.

11.2 Non-payment lock. We may lock or suspend your account for non-payment as described in Section 5.

11.3 By us. We may suspend or terminate access, with notice where practicable, if you materially breach these Terms, use the Service unlawfully, or create security or legal risk.

11.4 Effect. On termination, your right to use the Service ends. Data handling after cancellation/termination (export window then deletion) is described in the Refund & Cancellation Policy. Sections that by nature survive (including 6.2–6.3, 7, 9, 10, 13, 14) continue to apply.

12. Intellectual Property

12.1 Business HQ, including its software, design, branding ("Uplyft", "Business HQ", "Ava"), and all related IP, is owned by Uplyft. Except for the limited right to use the Service under these Terms, no rights are granted to you.

12.2 You must not copy, modify, distribute, or create derivative works of the Service, or remove any proprietary notices.

12.3 Feedback you provide may be used by Uplyft to improve the Service without obligation to you.

13. Modifications to the Terms & Service

13.1 We may update these Terms from time to time. Material changes will be notified by a reasonable means (e.g., email to your account or in-product notice). Continued use after the effective date constitutes acceptance.

13.2 We may modify, add, or discontinue features of the Service, aiming to avoid material reduction of core functionality during a paid cycle.

14. Governing Law & Disputes

14.1 These Terms are governed by the laws of India.

14.2 The courts at Bangalore (Bengaluru), Karnataka have exclusive jurisdiction, subject to any right to first attempt good-faith resolution and any applicable arbitration you and Uplyft may agree in writing.

15. General

15.1 These Terms, together with the Privacy Policy and Refund & Cancellation Policy, form the entire agreement between you and Uplyft regarding the Service.

15.2 If any provision is held unenforceable, the rest remains in effect.

15.3 You may not assign these Terms without our consent; Uplyft may assign them in connection with a business transfer.

15.4 Our failure to enforce a provision is not a waiver.
