Uplyft Partner Program — Policy

Operated by: Uplyft, a sole proprietorship registered under Udyam/MSME, Bangalore, Karnataka, India ("Uplyft", "we", "us", "our").

Programme: the Uplyft Partner Program, under which approved affiliates and referral/sales agents promote "Business HQ" (the "Programme").

By joining the Programme or using the partner dashboard, you ("Partner", "you") agree to this Partner Program Policy (the "Policy").

1. Who can join

The Programme is open to two kinds of partners, who share the same rewards and leaderboards: (a) Affiliates — individuals or businesses who promote Business HQ online or within their network; and (b) Referral / sales agents — partners who sign businesses up directly, often in person.

(a) You must be 18 or older and legally able to enter into a contract in India.

(b) Uplyft approves each partner before they can earn, and may decline or remove any applicant at its discretion.

(c) Existing Business HQ customers may join, but may never refer their own business or any account they control (see Conduct).

2. How the Programme works

On approval you receive a unique referral link and code, shown in your partner dashboard.

A business you refer must sign up through your link, or enter your code at signup, to be attributed to you.

Attribution is one referrer per business: the first valid referrer is credited, and a business can be attributed to only one partner.

You earn recurring commission on qualified referrals, plus the quarterly and standing rewards described below.

3. Qualified referral & eligibility

A referral earns only when it becomes a qualified referral — that is, when it reaches "Eligible". Nothing is earned merely on signup, or on a lead you have added yourself.

Every referral moves through the following stages, which are visible in your dashboard:

3.1 Pending — signed up through your link or code, not yet verified.

3.2 Customer-Matched — confirmed as a genuine Business HQ customer account (not you, and not a duplicate).

3.3 Payment-Matched — the customer's subscription payment has actually been received by Uplyft.

3.4 Eligible — the referral is matched AND payment has been received AND it has cleared the settlement hold; it is now payable.

3.5 Paid — the earning has been paid out to you.

Commission and rewards accrue only from the Eligible stage onward. A referral that never pays, or whose payment is later reversed, does not earn.

4. Commission

You earn a recurring commission on each qualified referral's subscription for as long as that business keeps paying.

Commission rates are 20%, 25%, or 30% of the referred business's subscription value, depending on your partner tier. Your applicable rate is set on your account and shown in your dashboard.

Commission accrues for each eligible paid month and is paid out in line with the Payments section below.

5. Rewards

In addition to commission, you can earn cash rewards on two tracks:

5.1 Quarterly growth bonus (resets every quarter) — for new paying referrals earned within a calendar quarter: 3 → ₹500 · 6 → ₹1,500 · 10 → ₹3,000 · 18 → ₹5,000. Each tier can be earned again every quarter.

5.2 Standing milestone reward (one-time, lifetime) — as your total active paying referrals cross each milestone: 5 → ₹2,500 · 15 → ₹7,500 · 30 → ₹15,000 · 60 → ₹30,000. Each milestone pays once and carries a permanent badge.

Reward amounts reflect the current Programme configuration and may be updated by Uplyft; badges you have earned and rewards already paid are always honoured.

6. Leaderboards

Uplyft runs quarterly and all-time leaderboards of paying conversions, with recognition for top partners. Affiliates and agents compete together on the same boards.

To protect everyone's privacy, leaderboards display only a partner's display name and conversion count — never anyone's email, phone, referral code, or customer details.

7. Payments

Earnings are paid to the payout details you enter in your partner dashboard (bank/UPI and PAN). You are responsible for keeping these accurate and complete; Uplyft never fills them in for you.

Payouts are made within 10 working days after the end of each calendar month, for earnings that are Eligible as at month-end.

A 30-day settlement hold applies from the date a payment is received before that referral's earnings become Eligible and payable, to allow for refunds and chargebacks.

A minimum payout of ₹500 applies. Balances below ₹500 carry forward to the next payout until the minimum is reached.

Payments are made in Indian Rupees. You are solely responsible for your own taxes, and any applicable TDS will be deducted or handled as required by law.

8. Refunds, chargebacks & clawback

If a referred business refunds, charges back, or otherwise reverses a payment, the related referral's eligibility is reversed (clawed back): it stops counting toward commission, rewards, and leaderboards.

Any amount already paid to you on a reversed payment is owed back to Uplyft and may be recovered by deducting it from your future payouts.

9. Partner conduct

You agree to promote Business HQ honestly and lawfully. You must not:

(a) make false, misleading, or exaggerated claims about Business HQ or Uplyft;

(b) send spam, including unsolicited bulk email, messages, or postings;

(c) refer your own business, your own accounts, or any account you control (self-referral);

(d) create fake, duplicate, or incentivised signups, or otherwise manipulate attribution;

(e) bid on or misuse Uplyft's or Business HQ's trademarks, or impersonate Uplyft.

Breach may lead to disqualification of affected referrals, forfeiture of unpaid earnings, and removal from the Programme.

10. Disclosure

Wherever you promote Business HQ, you must clearly disclose that you are a partner and may earn a commission, as required by applicable advertising rules — including the ASCI Guidelines in India and, where relevant, the FTC endorsement guidelines.

11. Changes & termination

Uplyft may update this Policy, the commission rates, and the reward tiers from time to time. The "Last updated" date reflects the latest version, and continued participation constitutes acceptance.

Either party may end participation at any time. On termination, Eligible earnings accrued up to that date are paid per the Payments section; pending (non-eligible) amounts do not become payable.

Uplyft may suspend or terminate a partner immediately for suspected fraud or breach of this Policy.

12. Relationship & liability

You are an independent promoter. Nothing in this Policy creates an employment, agency, partnership, or joint-venture relationship between you and Uplyft, and you may not represent otherwise or purport to bind Uplyft.

To the maximum extent permitted by law, Uplyft's total liability under the Programme is limited to the commission and rewards properly payable to you.

This Policy is governed by the laws of India. Any dispute arising out of or in connection with the Programme will be referred to and finally resolved by arbitration seated in Bengaluru, Karnataka, under the Arbitration and Conciliation Act, 1996; the courts at Bengaluru have exclusive jurisdiction.
